These Terms are the agreement between you and PraqtorDB. They are written in plain English on purpose. If you create an account, use the dashboard, install the Chrome extension, or call the API, you accept them.
PraqtorDB is an AI memory layer: a multi-tenant SaaS that stores your conversations, documents, bookmarks, and notes, builds a Knowledge Graph over them, and lets you query that store across multiple AI models. The product is in active development and shipping new features regularly; some features are labeled as Beta or Preview, and may change or be removed.

We may suspend or terminate an account for violations of this section. For severe violations (illegal content, security attacks) we may suspend without prior notice.
The content you upload, create, or generate inside the service is yours. We claim no ownership of your notes, documents, conversations, bookmarks, or any output the AI produces for you.
You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, retrieve, transmit, embed, index, and process your content for the sole purpose of running the service for you. This license ends when your data is deleted (see Section 8).
We do not use your content to train, fine-tune, or evaluate AI models — ours or anyone else's. When you query a third-party AI provider through us (OpenAI, Anthropic, Google, Groq, xAI, Perplexity), that provider receives your prompt and your retrieved context under their account terms; whether they train on it is governed by their policy and the API-account configuration on our side (we use no-training API tiers where available). When you use BYOK, your content goes to the provider under YOUR account and subject to whatever data-handling terms you have with them.
Ever. Not to advertisers, not to data brokers, not to anyone.
The service is sold as monthly subscriptions (Trial, Pro, Business; see the Pricing page) plus optional pre-paid credit packs for incremental AI usage beyond the included quota. Subscription fees are charged monthly, in advance. Credit packs are charged once, at purchase, and the credits live in your workspace until used or refunded.
Some queries to base models within your daily quota are not charged credits. The exact base-model list, quota numbers, and what counts as "free" are stated on the Pricing page and may change with reasonable notice.
When you connect your own provider API key, AI calls routed to that provider are paid by YOU to that provider on your own bill. PraqtorDB does not mark up, intermediate, or take a cut on those calls. We continue to charge subscription fees normally and continue to charge credits only for non-BYOK calls (e.g. embeddings, KG extraction, providers you have not connected). BYOK billing disputes are between you and your provider.
You can cancel your subscription at any time from the dashboard. Cancellation takes effect at the end of the current billing period (you keep access until then). On subscription cancellation, any unused credit-pack balance is automatically refunded to the most recent top-ups first (LIFO) through Stripe — usually within 5-10 business days. For other refund requests, email hello@praqtordb.com; we honor refunds for technical failures and clear cases of mischarge, and otherwise apply reasonable discretion.
Listed prices are exclusive of any sales tax, VAT, GST, or similar that may apply where you are. We collect and remit where legally required and add it to your invoice when applicable.
We aim for high availability but the service is provided on a best-effort basis. There is no contractual uptime SLA on the standard plans. Single-region deployment (AWS us-east-1) means an outage in that region affects the whole service. Scheduled maintenance, when needed, is announced in advance via email. If you need a contractual SLA, custom regional hosting, or dedicated infrastructure, email us about an enterprise arrangement.
Do not rely on AI output as a substitute for professional advice in regulated domains (legal, medical, financial, tax, safety). The output is information, not advice; treat it accordingly.
You can cancel your subscription and request account deletion at any time. After deletion, your tenant data is removed (see the Privacy Policy, Section 5). Billing records are retained as required by law.
We can suspend or terminate your account for material violations of these Terms (see Section 3) or for non-payment that we have notified you about and given a reasonable cure period (at least 14 days). For severe violations we may suspend immediately.
On account closure (either side), you have 30 days to request an export of your workspace data (JSON + files) before it is permanently removed. After 30 days, deletion is final.
The PraqtorDB platform — code, design, documentation, the Knowledge Graph algorithms, the dual-path verification system (Provisional Patent #64/048,011), the brand and logo — is ours. The license we give you under these Terms is to USE the service, not to copy, modify, redistribute, reverse-engineer, or build a substantially similar service from our materials.
Your content remains yours (see Section 4).
Two things you should know before continuing:
"AS IS" WARRANTY DISCLAIMER. The service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and warranties arising from a course of dealing or usage of trade. We do not warrant that the service will be uninterrupted, error-free, or that AI output will be accurate or fit for your purpose.
LIABILITY CAP. To the maximum extent permitted by law, our total liability to you for any claim arising from or related to the service is limited to the greater of (a) the total fees you paid us in the 12 months immediately before the event giving rise to the claim, or (b) US$100. We are not liable for indirect, consequential, incidental, special, punitive, or exemplary damages — including lost profits, lost revenue, lost data, or business interruption — even if we were told they were possible.
Some jurisdictions do not allow these limits. If yours does not, the limits apply to the maximum extent allowed there.
You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from (a) content you uploaded or generated through the service that violated these Terms or someone else's rights, (b) your misuse of the service, (c) your breach of these Terms. We will tell you about any such claim promptly and let you participate in the defense.
If you find a vulnerability, email hello@praqtordb.com with details. Please do not exploit it beyond what is needed to demonstrate it, and please do not disclose it publicly before we have had a reasonable chance to fix it (usually 90 days). We will acknowledge your report within 72 hours, keep you informed, and credit you in a disclosure thank-you list if you would like.
If we change anything material, we will email every active account at least 14 days before the change takes effect and update the "Effective" date at the top. Continued use of the service after the effective date counts as acceptance. If you do not accept, cancel before the effective date and request your data export.
These Terms are governed by the laws of the State of Nevada, USA, without regard to its conflict-of-laws rules. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
If we have a dispute, we will first try to resolve it informally — email hello@praqtordb.com with a clear description and what you'd like to see happen. If that does not work within 30 days, the dispute will be resolved by binding arbitration in Clark County, Nevada under the American Arbitration Association's Commercial Arbitration Rules, except that either party may bring a claim in small-claims court if it qualifies. To the extent permitted by law, we both waive any right to a jury trial and any right to participate in a class action arising from these Terms.
